These Terms & Conditions ("Terms") govern your access to and use of the Voqi mobile application (the "App") and the Voqi website (the "Website"), collectively referred to as the "Services," owned and operated by Voqi Labs Pty Ltd ("Voqi Labs," "we," "us," or "our").

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not use the Services.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and Voqi Labs Pty Ltd. You agree to be bound by these Terms, which include our Privacy Policy. We may update these Terms from time to time, and your continued use of the Services after any such updates constitutes your acceptance of the new Terms.

2. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

3. Privacy Policy

Your use of the Services is also governed by our Privacy Policy, which is incorporated by reference into these Terms. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your information.

4. User Accounts

Account Creation: To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

Account Security: You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Voqi Labs cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.

Age Restriction: You must be at least 13 years old to use the Services. If you are under 18, you represent that you have reviewed these Terms with your parent or guardian and that they agree to these Terms on your behalf.

5. Content and Conduct

User-Generated Content: You are solely responsible for the content you submit, post, or display on or through the Services, including but not limited to vocabulary lists, voice recordings for pronunciation practice, and any other data you input. You represent and warrant that you have all necessary rights to your user-generated content and that it does not infringe upon any third-party rights.

Prohibited Conduct: You agree not to:

• Use the Services for any unlawful purpose or in any way that violates any applicable local, state, national, or international law.
• Impersonate any person or entity or misrepresent your affiliation with a person or entity.
• Interfere with or disrupt the Services or servers or networks connected to the Services.
• Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services.
• Use any automated system, including without limitation "robots," "spiders," or "offline readers," to access the Services in a manner that sends more request messages to the Voqi Labs servers than a human can reasonably produce in the same period by using a conventional web browser.
• Upload or transmit any malicious code or viruses.
• Engage in any activity that is harmful, fraudulent, deceptive, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.

AI Feature Usage: Voqi utilizes AI for various features, including pronunciation assessment, summaries, and content generation. You agree to use these features responsibly and understand that while our AI strives for accuracy, it may not always be perfect. The AI-generated content is for educational assistance and should not be relied upon as definitive.

6. Intellectual Property

Our Content: All content on the Services (excluding user-generated content), including text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Voqi Labs Pty Ltd or its content suppliers and is protected by international copyright laws.

Your License: Voqi Labs grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

User Content License: By submitting content to the Services, you grant Voqi Labs Pty Ltd a worldwide, non-exclusive, royalty-free, fully paid, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your content in connection with the Services and Voqi Labs' (and its successors' and affiliates') business, including without limitation for promoting and redistributing part or all of the Services (and derivative works thereof) in any media formats and through any media channels. This license specifically extends to the use of your anonymized speech data for the improvement of our AI models, subject to your explicit opt-in consent as detailed in our Privacy Policy.

7. Subscriptions and Payments

Freemium Model: Voqi operates on a freemium model, offering certain basic features for free.

Voqi Pro Subscription: Advanced features, such as unlimited phoneme-level pronunciation analysis, advanced analytics, an ad-free experience, unlimited custom lists, and priority access to new languages/accents, are available through a paid subscription ("Voqi Pro").

Billing: If you subscribe to Voqi Pro, you agree to pay all applicable fees and taxes. Payments will be processed through the app store (e.g., Apple App Store, Google Play Store) or other payment processors. You agree to their respective terms and conditions.

Renewals and Cancellations: Subscriptions typically renew automatically. You are responsible for managing your subscription, including cancellations, through your app store account settings. No refunds will be issued for partial subscription periods.

Price Changes: We reserve the right to change our subscription prices at any time. We will notify you of any price changes in advance.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. VOQI LABS PTY LTD DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VOQI LABS PTY LTD, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES. IN NO EVENT SHALL VOQI LABS PTY LTD'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED AUSTRALIAN DOLLARS (AUD$100.00) OR THE AMOUNT YOU PAID TO VOQI LABS PTY LTD FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to defend, indemnify, and hold harmless Voqi Labs Pty Ltd and its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services, including, but not limited to, your user-generated content, any use of the Services' content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Services.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to its conflict of law provisions.

12. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be settled by arbitration in accordance with the rules of the Australian Centre for International Commercial Arbitration (ACICA). The seat of arbitration shall be Sydney, New South Wales, Australia. The language of the arbitration shall be English.

13. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

14. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the Services.

15. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Voqi Labs Pty Ltd regarding the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Services.
